Terms of Service
Midnight Teams · midnightteams.com
Last updated: 29 September 2026
These terms are an agreement between you and Initiators Media, Noida, Uttar Pradesh, India ("we", "us"), for your use of Midnight Teams. By creating an account you agree to them. If you sign up for a business, you confirm you're allowed to bind it, and "you" means that business.
1. The service
Midnight Teams gives your business a team of AI teammates that plan and do work: research, content, SEO, prospect lists, email drafts, campaign plans and customer support. You direct the work, and you approve what goes out.
2. Your account
- You must be at least 18 and able to enter a contract.
- Keep your login safe. You're responsible for everything done under your account, including by people you invite.
- If you think your account has been compromised, tell us straight away at legal@midnightteams.com.
3. AI teammates, and your approvals
- Teammates can be wrong. Their work is produced by AI models. It can be inaccurate, out of date or unsuitable, even when it sounds confident. Review it before you rely on it. Don't rely on it without review for legal, medical, financial or tax decisions.
- You decide what goes out. Teammates don't send email, publish, spend money or change your connected accounts without your approval. When you approve, send or publish something, it's your action and your responsibility.
- Auto-approval is your choice. If you switch it on, items that match the rules you set are approved without you looking at them, and you're responsible for them as if you had approved them yourself. High-risk items always wait for you.
- The Support teammate talks to your customers. You're responsible for what it tells them, and for letting them know they're talking to an AI where the law requires it.
4. Your content and your data
- Your content stays yours. This includes your website, files, company brief, connected-account data and everything your teammates produce for you ("outputs"). As far as the law allows, you own the outputs.
- You give us only the licence needed to run the service for you: to store, process and analyse your content, and to send it to the providers listed in the Privacy Policy so teammates can do their work. The licence ends when you delete the content.
- We don't train AI models on your content.
- Other customers may receive similar outputs, because AI models can produce similar text for similar requests.
- You confirm you have the right to give us the content you provide, and that using it doesn't break anyone else's rights.
5. People's data you handle
For the personal data in your workspace (your customers, visitors, prospects and contacts), you're the controller and we're your processor. This means:
- You need a lawful basis for collecting and using it, and you must honour people's privacy requests. We give you tools to export and delete their data.
- Outreach is your responsibility. Before you contact anyone your Sales teammate found, make sure you follow anti-spam and marketing laws where they live, such as CAN-SPAM, the GDPR and PECR, and India's DPDP Act. That includes a clear way to opt out.
- Our Data Processing Agreement is available on request at legal@midnightteams.com.
6. Connected accounts
When you connect an account such as Google, Meta, Slack, WhatsApp or Telegram, that provider's own terms also apply. We connect through our integration provider, Composio, and we only use the access you grant. You can disconnect at any time. We aren't responsible for changes, outages or limits on those services.
7. Acceptable use
You may not use Midnight Teams to:
- break the law or help anyone else break it
- send spam, bulk unsolicited messages, or messages to people who have opted out
- deceive people, impersonate a person or organisation, or write fake reviews or testimonials
- collect data from websites in breach of their terms, or build lists for harassment or discrimination
- handle payment card numbers, health records or other special categories of data, unless we've agreed to it in writing
- create malware, attempt to break into systems, or produce content that is illegal, sexually exploitative or hateful
- probe, overload or get around the service's security, rate limits, caps or approvals
- resell the service without a written agreement with us (the Agency plan includes reselling within its terms)
We may pause a teammate or a workspace that breaks these rules; see section 10.
8. Plans, credits and payment
- Plans are billed in advance, in US dollars, and renew automatically until you cancel. Taxes such as GST are added where they apply.
- Each plan includes a monthly credit allowance that pays for your teammates' work. Unused credits don't carry over. Usage beyond the allowance is charged at the published overage rate, or your teammates pause until the next period, whichever you've chosen.
- Bringing your own Anthropic API key: your teammates' model usage is billed to you by Anthropic under your agreement with them. You pay us only the plan fee.
- You can cancel at any time and keep access until the end of the period you've paid for. Payments already made aren't refunded, except where the law requires it.
- We'll give at least 30 days' notice before a price change applies to your next renewal.
9. Availability and changes
We work to keep Midnight Teams running and monitor it continuously, but we don't offer a contractual uptime guarantee. Features marked beta may change or stop. If we remove something you rely on, we'll give you reasonable notice.
10. Suspension and closing an account
- We may suspend a workspace that breaks section 7, isn't paid, or puts the service or other people at risk. Except in urgent cases, we'll tell you first and give you a chance to fix it.
- You can close your account at any time. We then delete your data as described in the Privacy Policy, keeping only what the law requires.
- Export anything you want to keep before you close your account.
11. Liability
- The service is provided "as is". We make no warranties beyond those the law won't let us exclude.
- As far as the law allows, neither of us is liable for indirect or consequential loss, lost profits or lost data.
- Our total liability in any 12-month period is limited to the fees you paid us in that period.
- Nothing here limits liability that can't lawfully be limited.
- You'll cover us against claims that arise from content you provide, messages you approve or send, or your breach of sections 5 or 7.
12. Governing law
These terms are governed by the laws of India. The courts at Noida, Uttar Pradesh have exclusive jurisdiction, unless the law where you live gives you the right to bring a claim there.
13. Changes to these terms
We'll email you about material changes before they take effect. If you keep using Midnight Teams after that, you accept the new terms. Questions go to legal@midnightteams.com.
